Platform Services
Arctic Health's AI-powered platform for credentialing, contracting, rate negotiations, and compliance monitoring is governed by separate agreements, including a Master Service Agreement ("MSA") and, where applicable, a Business Associate Agreement ("BAA"). These Terms do not govern your use of our platform services.
Service Availability
We strive to maintain Website availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Website at any time without prior notice.

Intellectual Property
All content on this Website is the property of Arctic Health or its licensors and is protected by United States and international intellectual property laws.

WE DO NOT WARRANT THAT:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARCTIC HEALTH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
FOR WEBSITE VISITORS WITH NO SEPARATE SERVICE AGREEMENT, ARCTIC HEALTH'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
NOTWITHSTANDING THE FOREGOING, NOTHING IN THESE TERMS SHALL LIMIT ARCTIC HEALTH'S LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; (C) WILLFUL MISCONDUCT OR GROSS NEGLIGENCE; OR (D) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

Indemnification
You agree to indemnify, defend, and hold harmless Arctic Health and its officers, directors, employees, agents, and affiliates from and against any claims arising out of:

- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any information you submit that is false, misleading, or inaccurate

If your organization handles Protected Health Information ("PHI") and engages Arctic Health's platform services, a separate Business Associate Agreement ("BAA") will be executed.

Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles.
Any dispute shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
Before initiating legal proceedings, you agree to attempt to resolve any dispute through good-faith negotiation for thirty (30) days.

General Provisions
Entire Agreement: These Terms, together with the Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Arctic Health regarding your use of the Website.
Severability: If any provision is found to be unenforceable, that provision shall be limited or eliminated to the minimum extent necessary.
Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent.
Force Majeure: Arctic Health shall not be liable for any failure or delay resulting from circumstances beyond its reasonable control.
